In preparation for the CML Implementation, Supply Chain needs to assess its existing contract portfolio and categorize its business obligations to prepare each contract for uploading. This activity would fall into three main workstreams:
Contract Content Documentation:
· Resource will record contract summary forms for each arrangement documenting the business case and protections included with the agreement. Supply Chain has developed an overlay summary checklist that will highlight the key elements of the contract.
· Examples include: annual spend, total contract spend, contract effective dates, contract expiration dates, firm pricing vs price escalator arrangements, rebate offerings, termination rights, notice periods, access vs commitment obligations and freight responsibilities amongst others.
Contract Upload Readiness:
· Populating a contract transfer form with agreement attributes Sentara Supply Chain will need to upload such arrangements into the CLM tool.
· Examples include: contract owner, contract category, affiliate entities, price term, exhibit inclusion such as consignment terms, business associate terms and service terms amongst others.
Contract Recommendations:
· In reviewing the portfolio this resource may provide recommendations and draft simple contract template activity.
· Examples include: termination notices, contract extensions for portfolios to have coterminous expirations, amendments to consolidate agreements, add affiliates or eliminate conflicts or inconsistencies amongst terms.
Education:
· Students enrolled in a master’s program in law or law school student
Key Resource Attributes:
· Experience and training reading contractual commitments
· Detail oriented who is both thorough and consistent in approach
· Process focused who is both curious and thrives on process redesign
· Great communicator both written and verbal
· Computer proficiency required
